General Terms of Sale

These General Terms of Sale ("CGV") govern the commercial relationship between Pinfly and Brands ("Clients") using the platform to create advertising campaigns and commission user-generated content from Creators.
1. Definitions
"Platform" refers to the Pinfly website and services. "Client" or "Brand" refers to any company or individual using Pinfly to create campaigns. "Creator" refers to any user completing missions on the platform. "Campaign" refers to an advertising campaign created by a Client on the Platform. "Mission" refers to a specific task within a Campaign that Creators can complete. "Commission" refers to the percentage retained by Pinfly on campaign budgets.
2. Services Provided
Pinfly provides a platform enabling Brands to: (a) create advertising campaigns with specific missions and requirements; (b) define budgets and reward amounts for missions; (c) access a pool of verified Creators who complete missions; (d) benefit from automated content verification; (e) access analytics and performance metrics for campaigns. Pinfly acts as an intermediary and is not a party to any employment or service contract between Brands and Creators.
3. Pricing & Commission
Pinfly charges a commission on campaign budgets. The current commission rate is displayed during campaign creation and is applied to the total campaign budget. All prices are displayed in Euros (EUR) and are exclusive of applicable taxes (HT). VAT is applied at the rate in effect at the time of invoicing. The commission is non-refundable once a campaign has been activated.
4. Payment Terms
Campaign budgets must be funded before activation. Pinfly issues invoices upon campaign activation. Payment is due within 30 days of invoice date. Accepted payment methods include bank transfer and credit card. Late payments incur interest at a rate of three times the legal interest rate, plus a fixed recovery fee of 40 EUR as per Article L.441-10 of the French Commercial Code.
5. Campaign Lifecycle
Campaigns follow a defined lifecycle: draft (creation and setup), pending_review (awaiting Pinfly moderation), active (live and accepting submissions), paused (temporarily suspended), completed (budget exhausted or deadline reached), cancelled (terminated by Client or Pinfly). Once active, campaign budgets cannot be reduced below amounts already committed to verified submissions. Clients may pause active campaigns at any time. Cancellation of an active campaign does not entitle the Client to a refund for rewards already distributed to Creators.
6. Content Verification
Pinfly provides automated content verification services including: post existence verification, hashtag and mention compliance, content ownership verification, and post-reward deletion monitoring. While Pinfly strives for accuracy, verification is provided on a best-effort basis. Clients may request manual review of submissions that receive inconclusive automated verification results.
7. Liability
Pinfly is not liable for: (a) the quality or performance of Creator content beyond verified requirements; (b) engagement metrics or virality of posts; (c) social platform outages or API changes that may affect verification; (d) Creator behavior outside the scope of the mission. Pinfly's total liability is limited to the commission amount paid by the Client for the relevant campaign.
8. Intellectual Property
Content created by Creators remains their intellectual property. The license terms for content usage are defined within each campaign's parameters. Pinfly does not transfer any intellectual property rights beyond what is specified in the campaign terms. The Pinfly platform, including its brand, design, and technology, remains the exclusive property of Pinfly.
9. Applicable Law & Disputes
These CGV are governed by French law. In case of dispute, the parties agree to seek an amicable resolution first. Failing that, disputes shall be submitted to the competent courts of Paris, France, regardless of the Client's place of business or the place of performance of the contract.
